1. Acceptance of Terms

Welcome to cnwheelrims.com, owned and operated by Ningbo ChiNai Auto Parts Co., Ltd. (hereinafter referred to as “CNWR”, “we”, “us”, or “our”). By accessing our website, requesting a quote, or placing a wholesale/OEM order, you (the “Buyer”, “Client”, or “User”) agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please refrain from using our website and services.

2. Business-to-Business (B2B) Nature

CNWR is a manufacturer and wholesale distributor of aftermarket and custom alloy wheels. Our products and services are exclusively intended for B2B transactions (distributors, wholesalers, tuning shops, and brand owners). We do not typically sell directly to individual retail consumers. Minimum Order Quantities (MOQs) apply to all orders and vary by product line (e.g., Cast, Flow-Formed, Forged, or Custom Molds).

3. Orders, Pricing, and Quotations

  • Quotations: All quotes provided via email or our website are valid for a limited period (usually 30 days) due to fluctuations in raw material costs (aluminum) and exchange rates.
  • Pricing: Prices are generally quoted in USD under FOB Ningbo/Shanghai or CIF terms (Incoterms 2020), unless otherwise specified. Prices do not include import duties, local taxes, or customs clearance fees at the destination port, which are the sole responsibility of the Buyer.
  • Order Confirmation: An order is only considered legally binding once a Proforma Invoice (PI) has been signed by both parties and the initial deposit has been received.

4. Payment Terms

For international B2B transactions, our standard payment terms are:

  • For Ready-to-Ship Inventory: 100% T/T (Telegraphic Transfer) before shipment.
  • For Production Orders (Standard/Custom): 30% T/T deposit to initiate production, and the remaining 70% balance paid against the copy of the Bill of Lading (B/L).
  • Tooling/Mold Fees (OEM/ODM): 100% upfront payment is required for new mold development.
  • Note: Letter of Credit (L/C) may be accepted for large-volume container orders upon negotiation.

5. Manufacturing, OEM/ODM, and Tooling

  • Lead Times: Estimated production lead times will be stated in the Proforma Invoice. While we strive to meet all deadlines, lead times are estimates and may be subject to force majeure events or unforeseen manufacturing delays.
  • Custom Designs & IP: For ODM/OEM projects, the Buyer must ensure they hold the legal rights to any designs provided. CNWR will not be held liable for any patent or trademark infringements arising from designs supplied by the Buyer.
  • Mold Ownership: Custom molds developed and paid for by the Buyer will remain the exclusive property of the Buyer. CNWR agrees not to use these molds to produce wheels for any other client.

6. Shipping, Delivery, and Risk of Loss

  • Shipping Terms: We ship globally via ocean freight (FCL/LCL) and air freight.
  • Risk of Loss: The transfer of risk from CNWR to the Buyer is determined by the agreed-upon Incoterms (e.g., under FOB terms, risk transfers once the goods are loaded onto the vessel at the port of departure).
  • Inspection: Buyers are encouraged to arrange third-party inspections (e.g., SGS) before the containers are sealed at our facility.

7. Returns, Claims, and Warranty

Due to the nature of international wholesale, we do not accept returns for unsold inventory or “change of mind.”

  • Claims: Any claims for structural defects, finish defects, or shipping discrepancies must be reported in writing within [填入天数，通常为 15-30 days] days of the container arriving at the destination port, accompanied by photo/video evidence and the wheel’s serial/batch number.
  • Warranty: All wheels are covered by our standard Warranty Policy (covering structural integrity and cosmetic finishes under normal use). Please refer to our full Warranty Policy page for detailed terms.

8. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, and digital downloads, is the property of CNWR and is protected by international copyright laws. Unauthorized use, reproduction, or distribution of our content is strictly prohibited.

9. Limitation of Liability

To the maximum extent permitted by law, CNWR shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or business interruption, arising out of the use or inability to use our products or website.

10. Governing Law and Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from these terms or international orders shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) or negotiated amicably between the parties.
